OHA Board <\/span><\/span><\/b>Minutes <\/span><\/span><\/b>September 10, 2007<\/span><\/span><\/b><\/p>\n \n OHA Board <\/span><\/span><\/b>Minutes <\/span><\/span><\/b>September 10, 2007<\/span><\/span><\/b><\/p>\n \n Present: <\/b>Bubs, Eddie, Erica, Heather, Erica, Elise, and Bronwyn<\/span><\/p>\n \u00a0<\/span>Annual Meeting is on Sunday September 23, 2007 at 3pm.<\/span><\/span><\/b>\u00a0<\/span><\/span><\/b><\/p>\n <\/p>\n Worming\u00a0 Reminder<\/b> <\/span><\/p>\n Horses need to be wormed a minimum of 4 times. It is recommended that they be wormed more often. Check with your veterinarian.<\/span><\/p>\n \n \u00a0<\/span><\/b>Work Hours Reminder- Work hours are due September 30.<\/span><\/b><\/p>\n 1 horse 24 hours<\/span><\/p>\n 2 horses 33 hours<\/span><\/p>\n \u00a0<\/span><\/b>Rules Book<\/span><\/b><\/p>\n The board discussed the possibility of getting out new copies of the Rules Book by the annual meeting. We\u2019ll do our best.<\/span><\/p>\n \u00a0<\/span>The board discussed all the pasture accomplishments for this year. We put together a list for the annual meeting. We also set the agenda for the meeting.<\/span><\/b>\u00a0<\/span>Agenda<\/span><\/span><\/b><\/p>\n \u00a0<\/span><\/b>\u00a0<\/span><\/b>Work Hours<\/span><\/b><\/p>\n Eddie will be tallying work hours. The work hour book will be out of the shed for a couple of days. (9\/17 to 9\/23)\u00a0 but it will return If you need to update your work hours during that time, please email Eddie with them<\/span><\/p>\n \u00a0<\/span>Proposed Pasture Rotation<\/span><\/b><\/p>\n Plateau Pasture (current location) until Oct. 20.\u00a0 8 weeks on this pasture. Feed from red hay barn with trucks starting Sept. 15th.<\/span><\/p>\n Pond Pasture Oct. 20 – Dec 15.\u00a0 8 weeks.\u00a0 Feed from red barn and Pond hay barn.<\/span><\/p>\n Lower Pasture Dec 15 – Jan. 26. 6 weeks.\u00a0 Feed from road and LP hay enclosure.<\/span><\/p>\n Upper Sullivan Ranch Pasture Jan. 26 – Feb 16. 3 weeks.\u00a0 Hopefully grass will be sufficient and we will not need to supplement hay.<\/span><\/p>\n Pond Pasture Feb 16 – TBD. Pond Pasture will have rested 9 weeks by Feb 16. <\/span><\/p>\n This frequent rotation is at EBMUD\u2019s request and supports good pasture management. <\/span><\/p>\n \u00a0<\/span>Spring in Plateau Pasture<\/span><\/b><\/p>\n Heather will let Penny know our concerns. To more adequately cover the feeding season the board voted to increase feedings for second horse to 16 feedings per year. <\/span><\/p>\n \u00a0<\/span><\/p>\n Therefore the updated feedings per year are as follows<\/span><\/p>\n \u00a0<\/span>\u00a0<\/span>\u00a0<\/span>Legal Issues<\/span><\/b>The board has decided to purchase directors\u2019 insurance. Most non-profit organizations in our day and age do this to protect not only the board members, but also the organization.<\/span><\/u>\u00a0<\/span><\/p>\n Unfortunately this year the board has had to deal with several lawsuit threats from <\/span><\/p>\n various members. This is not the first time that this has happened in the history of the pasture, but the stress and time spent dealing with the threats has taken an enormous toll on this board. Not only were we concerned about personal liability but also about the possibility of bankrupting and thus destroying the organization. Our pasture is such an amazing and wonderful place. The idea that we could possibly lose it was unthinkable.\u00a0 As a result, we decided to seek legal advice to find out exactly how worried the organization should be about such threats.<\/span><\/p>\n Elise and Bubs met with Charles Drexler, Attorney at Law on Wednesday July 11. Mr. Drexler kindly donated one hour of his time to give us advice. Below is a quick summary of what we learned. <\/span><\/p>\n \u00a0<\/span><\/p>\n The board had extensive discussion, representing varying viewpoints, on the subject of purchasing directors\u2019 insurance. Weighing both the membership cost implications and the viability of engaging members in board of directors\u2019 responsibilities as well as protecting the longevity of the association, the board voted to purchase directors\u2019 insurance. This will have an impact on membership dues and the board will inform the membership once we have the insurance company quote.<\/span><\/p>\n \u00a0<\/span><\/p>\n We reviewed a new draft of our release\/waiver form and agreed on some revisions.<\/span><\/p>\n \u00a0<\/span><\/p>\n We also agreed on putting together a draft of changes in the Articles of Incorporation for the membership to vote on<\/span><\/p>\n \u00a0<\/span>Thank you<\/span><\/b><\/p>\n \u00a0<\/span>Next meeting Monday, September 10 7pm at Bubs\u2019, 768 Neilson Street, Berkeley 94707<\/b><\/span>\u00a0<\/span><\/p>\n
